Terms of Service

1. Introduction

These are the Terms and Conditions of Service (the “Terms”) for our platform available at simplisticnode.com (the “Site”), including its sub-domains and mobile-optimised versions, together with any products and services offered through it. These Terms supplement our Privacy Policy, which is incorporated herein by reference.

The Site and any products and services are provided by SimplisticNode, a trading name of Lonex Group Ltd (collectively, “SimplisticNode”, “we”, “us”, “our”). The words “client”, “user”, “you” and “your” refer to you, the user of this Site, in compliance with these Terms.

By accessing this Site, on behalf of yourself or the entity you represent, you represent and warrant that you have the right, authority and capacity to enter into both these Terms and our Privacy Policy, in accordance with all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing this Site. By using our Services, you consent to these Terms.

2. Services offered

SimplisticNode provides hosting and related services, including web, WordPress and reseller hosting, VPS and dedicated servers, game-server, application and Discord-bot hosting, and domain registration and email (collectively, the “Services”).

We furnish the Services to visitors who browse the Site, registered users, and any other users who have engaged the Services, all subject to these Terms. For bespoke requirements, please ask our team for a quotation and we will be pleased to provide available options, an estimated timeframe and expected cost.

3. Payment terms

We accept payments via authorised third-party payment processors such as PayPal and Stripe. You hereby authorise us to charge the applicable fees through your chosen payment account. Sensitive financial details are stored only by our payment providers.

SimplisticNode is not responsible for any errors, fees or currency-conversion charges applied by our payment processors. You should review their terms and policies from time to time, as they will govern their provision of services to you.

4. Subscription terms

When you purchase a hosting plan, your subscription is set to renew automatically at the end of your chosen subscription period. You may cancel the renewal at any time; cancelling means recurring payments end, but you retain access to the Services for the remainder of your current period.

Subscription payments are billed on a monthly, quarterly, bi-annual or yearly basis, on the calendar day corresponding to the start of your paid subscription. We do not provide refunds for partial subscription periods or for accidental purchases. We provide refunds on new orders if requested within the first 24 hours; no refunds are given on subscription renewal payments. If a payment is not successfully settled, we may suspend your access until we receive valid payment.

5. Disputes & chargebacks

All payment charges are final and non-cancellable. If we detect a chargeback, or if any payment is not received by us or our payment processors for any reason, you will promptly pay us all amounts due upon notice. Any failure or inability by us to process a payment does not relieve you of your payment obligations.

A chargeback is typically caused when a customer disputes a charge on their bank or payment statement, and may result in the reversal of a transaction. You may be assessed chargebacks for: (i) customer disputes; (ii) unauthorised or improperly authorised transactions; (iii) transactions that do not comply with payment-network rules or are allegedly unlawful or suspicious; or (iv) reversals for any reason by our payment processor or the institutions handling the transaction.

When a chargeback is issued, you are immediately liable to SimplisticNode for the full amount of the chargeback, plus any associated fees (including those assessed by our payment processor or the financial institutions handling the transaction).

6. Return policy

Refunds are available on new orders if requested within the first 24 hours of purchase. After that period, and on all subscription renewal payments, charges are final and non-refundable. Clients are responsible for understanding this policy before purchasing, and our support team is available for any queries.

In exceptional cases, refund requests due to service non-performance may be considered at our discretion, but are not guaranteed. By using our Services, you acknowledge and agree to these terms.

7. Amendments

SimplisticNode reserves the right to modify, amend, suspend, terminate, upgrade or update these Terms, our Privacy Policy and the Services at any time. Material changes will be displayed on the Site, and we may notify you by email. Please refer to the “last updated” date above. Your continued use of the Services after the effective date of any update indicates your acceptance of it.

8. Parental notice

SimplisticNode encourages parents, legal guardians and responsible adults to be actively involved in children's safe use of the Internet. We do not knowingly provide our Services to persons under the age of eighteen (18). If you are under that age, you may not access our Services under any circumstances.

We reserve the right to request proof of identification and consent from users at any time, without prior notice and at our sole discretion. Where such proof is not provided, we may immediately freeze, block or cancel the account with no liability.

Users must not provide us with personally identifiable information of persons under the age of thirteen (13) without the consent of their parents or legal guardians. We do not knowingly collect information from any person under the age of thirteen (13), and will delete any such information. For more information, please read our Privacy Policy.

9. Your privacy

By disclosing personal data to us, you agree to our Privacy Policy, including the collection, processing, storage and disclosure of that information as described there. Using SimplisticNode means you accept our Privacy Policy, whether or not you are a registered user.

We take data protection seriously and comply with applicable UK data protection law, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We are registered with the Information Commissioner's Office (ICO) under registration number ZC120576. 10. Term & termination

The term of these Terms begins on the earliest of: (i) your first access to the Site; (ii) your first access to or use of our Services; or (iii) the date SimplisticNode begins providing the Services to you. It ends on the earliest of: (i) deactivation, suspension or deletion of your account; (ii) termination or revocation of your access to the Services; (iii) SimplisticNode's termination of these Terms; (iv) any termination date we notify to you; or (v) our decision to make the Site or Services no longer available.

11. Termination for cause

These Terms and any licences granted under them may terminate automatically if you breach any of the terms and conditions contained here. Upon termination for breach, your rights to use the Site, the Services and any information provided or generated by them shall cease, and you will not be entitled to any compensation, credit, remedy or refund of any nature.

12. Service guarantee

SimplisticNode will make all commercially reasonable efforts to keep the Services available in line with our Service Level Agreement, a 99.95% uptime commitment. You agree that SimplisticNode cannot be held liable for failures resulting from downtime or unavailability outside our reasonable control. Where an issue arises, we will use commercially reasonable efforts to resolve it, with no guarantee as to timing, resources applied or results obtained. 13. Giveaways

SimplisticNode may, at its sole discretion, offer giveaways or promotional events (“Giveaways”). The terms of each Giveaway will be specified at the time of the offer and may include eligibility requirements, entry methods and prize details. By participating, you agree to comply with all applicable laws and the specific terms of the Giveaway.

Participation is limited to one entry per person. Any attempt to submit multiple or fraudulent entries may result in disqualification. Members of the SimplisticNode staff team are not permitted to participate.

Winners are announced publicly, and it is the selected participant's responsibility to claim their prize. If a winner fails to claim within twenty-four (24) hours of the announcement, we reserve the right to re-roll and award the prize to another participant. All Giveaways are managed at our sole discretion; we reserve the right to interpret, amend or terminate a Giveaway at any time, and all decisions on eligibility, winner selection and prize distribution are final.

14. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory local law provides otherwise.
